Related-Party Disclosures Without a Last-Minute Scramble

A practical calendar for collecting director confirmations, intercompany balances, and disclosure drafts before the reporting pack locks.

Related-party notes become stressful when confirmations are requested after the trial balance is already frozen. Start six weeks earlier with a roster of directors, significant shareholders, and entities under common control.

Ask each party for a short confirmation covering loans, guarantees, and trading balances. Keep the form to one page. Long questionnaires invite delay; incomplete ones invite findings.

Reconcile intercompany balances to the counterpart’s books before drafting the note. Differences that sit in transit accounts should be aged and explained, not netted away in hope.

Present a draft disclosure to the board finance committee with enough time for factual corrections. Auditors can test the note; they cannot invent the relationships the company forgot to list.
